1. Agreement and Acceptance
This Services Agreement (“Agreement”) governs your access and use of iTransfr’s platform and services (“Services”) offered by RWA Bridge LLC (“iTransfr”, “we”, “us”, “our”). You accept this Agreement when you: Sign up through our platform or execute an Order Form referencing this Agreement. Access or use the Services for yourself or on behalf of a business entity. If you represent an entity, you affirm that you are authorized to bind it to these terms.
2. Description of Services
iTransfr offers a digital financial platform including:
Digital Wallets: Self-custody and managed wallet structures.
Crypto Settlements: Cross-border fiat-crypto-fiat conversions.
OTC Trading: Programmatic and block trades for supported digital assets.
Professional Services: Onboarding, and custom liquidity solutions.
Transaction and Compliance Infrastructure including KYC/AML compliance enforcement
As part of our regulated payment architecture, iTransfr utilizes licensed downstream service providers, including:
Dakota Ridge, Inc., for virtual account creation and reconciliation.
Bridge Ventures LLC, the infrastructure provider operating the Bridge.xyz platform.
As a result, bank transactions related to iTransfr services may display any of the following entity names:
RWA Bridge LLC, Dakota Ridge, Inc., or Bridge Ventures LLC.
These entities operate under coordinated compliance protocols and are integral to the secure delivery of iTransfr’s cross-border transaction framework.
3. Wallets and Custody
3.1 Wallet Architecture You may use:
iTransfr-Supported Wallets: Key shards are split:One retained by iTransfr (limited access)One encrypted and stored by iTransfr (not accessible)One sent to a backup provider designated by you
Third-Party Wallets: External smart contract-based wallets. You are solely responsible for their use.
3.2 Ownership of Assets
All digital assets in your wallet are owned by you. iTransfr does not custody funds. You bear all risk related to loss or volatility of such assets.
3.3 Authentication CredentialsYou must securely store all private keys, passphrases, and access credentials. iTransfr cannot recover or access lost credentials.
4. Compliance and Eligibility
4.1 KYC/AML ObligationsAll users are subject to:Know Your Customer (KYC)Anti-Money Laundering (AML)Compliance with iTransfr’s AML/KYC policy, including identity verification, transaction monitoring, and reporting obligations.
4.2 Jurisdictional LimitsServices are not available to:Residents of sanctioned countriesIndividuals/entities listed on OFAC or similar sanctions listsUnaccredited U.S. retail investors
4.3 EligibilityYou must be at least 18 years old and capable of entering binding agreements.
5. Fees and Payments Service and transaction fees are detailed in your Order Form or iTransfr’s pricing schedule.Fiat transactions may incur spread and conversion costs.
6. Intellectual Property All technology, software, dashboards, documentation, and processes are proprietary to iTransfr. You may not copy, modify, reverse-engineer, or use iTransfr’s IP for competitive analysis.
7. Risk Disclosure and Disclaimers
7.1 General RisksDigital assets are volatile and unregulated in many jurisdictions.Blockchain transactions are irreversible.You accept full responsibility for any trading or asset transfer activity.
7.2 No Custodial ResponsibilityiTransfr does not control private keys or guarantee access to assets. We are not liable for loss due to:Misuse or misconfigurationUnsupported assetsIncorrect addresses
8. Limitation of Liability
iTransfr’s total liability is limited to fees paid in the past six (6) months.We are not liable for indirect, incidental, or consequential damages including lost profits, data loss, or regulatory penalties.Force majeure exclusions apply.
9. Confidentiality and Data All customer information is handled per iTransfr’s Privacy Policy and AML/KYC compliance requirements. We do not sell or share personal data without consent, except where required by law.
10. Term and TerminationThis Agreement remains active while you use the Services.Either party may terminate with 30 days’ notice.iTransfr may suspend or terminate services immediately for breach, illegal conduct, or regulatory risk.
11. Governing Law and Jurisdiction
This Agreement is governed by the laws of Saint Kitts and Nevis.
For any legal proceedings not subject to arbitration, venue lies in the courts of Saint Kitts and Nevis.
12. Dispute Resolution
12.1 Binding Arbitration
All disputes will be settled by binding arbitration under the laws of Saint Kitts and Nevis. Arbitration shall be confidential, final, and enforceable by local courts.
12.2 Class Action Waiver
Disputes must be resolved on an individual basis only. No class actions or representative suits are allowed.
13. Amendments
We may update these Terms by providing 30 days’ notice. Continued use of the Services constitutes acceptance.
